Forming a company with its seat in Rome
We prepare and coordinate the formation of an S.r.l. whose registered office (sede legale) is in Rome, for founders who live abroad and for those already in the city. The notary receives the deed and files it; we assemble everything before the signature and follow everything after it, as part of our company formation service.

How a Rome formation runs, step by step
Prerequisites in hand
Each founder's codice fiscale, the legalised and translated documents, the procura where used, both PECs and the Rome address. Who: the founder, with our coordination. When: before the clock starts.
Deed and statuto
The notary receives the deed in person, by attorney or by videoconference; the statuto names Roma as the seat (Art. 2463 c.c.). When: one sitting.
Filing
The notary files the Comunicazione Unica through DIRE within 10 days (Art. 2330 c.c.); EUR 65 stamp duty and a EUR 90 secretarial fee come from the Telemaco fund.
Register entry
The Rome chamber enters an electronic filing within 5 days of protocol (Art. 11(8) D.P.R. 581/1995). The company gains legal personality; the chamber confirms to its PEC within 5 days.
Partita IVA, INPS and INAIL
The Agenzia delle Entrate, INPS and INAIL each communicate their outcome within 7 days of the filing.
First annual chamber fee
The company pays EUR 120 for 2026 at filing through Telemaco, or by F24 within 30 days, with codice tributo 3850 and codice ente RM.
SUAP, only where the activity needs it
Through the SUAP one-stop shop, an activity under a SCIA may start on the ComUnica acceptance receipt; an incomplete file is completed once, within 30 days.

Problems we solve
- A filing suspended for a missing PEC
Both PECs are set up before the deed: the company's own, which no other company may share, and the director's personal PEC under Art. 13(3) D.L. 159/2025.
- An annual fee nobody mentioned
The annual fee to a chamber of commerce in Italy is owed in full even after a December registration. We set out the EUR 120 and its deadline, since lateness carries a 10% to 100% penalty.
- A SCIA with no legal effect
A SCIA sent by PEC or on paper to a telematic SUAP is not valid. We coordinate it through the telematic channel, together with the Comunicazione Unica where the activity allows.
- An address that does not hold
The application carries a Rome street and house number (Art. 111-ter disp. att. c.c.), and third parties may rely on the effective seat (Art. 46 c.c.). We check both before the deed.
- A clock that never started
The codice fiscale, the legalised documents and the procura are sequenced first, so our 48 hours run from the signed deed instead of stalling on paperwork. Practice, not law.

Frequently asked questions
Do I need a notary based in Rome?
No, not for the remote deed. Competence for a videoconference deed follows where at least one party resides or has its seat (Art. 26(2) L. 89/1913), and the notary receives the deed in any case when every party lives outside Italy (Art. 2(4) D.Lgs. 183/2021). A founder who signs in person uses a notary of Lazio.
How long does registration in Rome take after signing?
The notary files within 10 days of the deed (Art. 2330 c.c.), and the Register enters an electronic filing within 5 days of protocol (Art. 11(8) D.P.R. 581/1995). The chamber confirms within 5 days, the agencies within 7 (ComUnica guide). These are maxima; our 48 hours from the signed deed are practice.
What does the state charge to form an S.r.l. in Rome in 2026?
EUR 200 registration tax, EUR 156 stamp duty on the deed, EUR 65 Register stamp duty, a EUR 90 secretarial fee and a first annual chamber fee of EUR 120. The notary's own fee has no official scale. Our fee depends on the file and is given on request.
Can a virtual office address in Rome be the registered office?
"Virtual office" is a commercial term, not a legal category. The statuto names only Roma, but the Register application needs a street and house number (Art. 111-ter disp. att. c.c.), and third parties may rely on the seat where the business is really run (Art. 46 c.c.). No official list says what a domiciliation agreement must contain.
Can several companies at one Rome address share a PEC?
No. Each company's PEC must belong to that company alone, and an invalid or expired PEC is cancelled ex officio (Camera di Commercio di Roma). The director also registers a personal PEC, which may not coincide with the company's (Art. 13(3) D.L. 159/2025). Filing the company PEC costs nothing in stamp duty or fees.
Is the first year's fee reduced if I incorporate late in the year?
No. The diritto annuale is owed in full for any calendar year in which the company is registered, even for one day (Camera di Commercio di Roma), so a company formed in December pays the whole first year. An innovative start-up is exempt for up to 5 years while it keeps the requirements (Art. 25 D.L. 179/2012).
Does Rome charge the 20% annual-fee uplift?
Yes. A MIMIT decree of 17 March 2026, published on 28 April 2026, authorised the 20% uplift for 2026, 2027 and 2028 (Camera di Commercio di Roma). The EUR 120 a new capital company pays in Rome for 2026 already includes it, together with the 50% statutory cut, so nothing is added on top.
When is the first annual fee paid, and what if it is late?
At filing through Telemaco, or by F24 within 30 days of the application, with codice tributo 3850 and codice ente RM (Rome 2026 page). Late payment carries a penalty of 10% to 100% of the fee due (Camera di Commercio di Roma). We set out the amount and the channel with the filing.
Do I need a licence from the City of Rome?
Only if the activity falls under a SUAP regime: a notice, a SCIA or an authorisation under D.Lgs. 222/2016. Otherwise the Comunicazione Unica alone suffices. A SCIA sent by PEC or on paper to a telematic SUAP has no legal effect (Camera di Commercio di Roma, SUAP). Authorisation terms depend on the sector and are checked for each file.
Which authority registers a company in Rome?
The Register of Companies (Registro delle Imprese) kept by the Camera di Commercio di Roma. The notary files the deed with the Register of the district of the registered office (Art. 2330 c.c.), and the same chamber collects the company's annual fee (Camera di Commercio di Roma). SARI, the chamber's support platform, gives the amount of each filing.
Can a foreigner start a company in Rome?
A founder who lives abroad can take part in the deed by videoconference, and when every party lives outside Italy the notary receives the deed in any case (Art. 2(4) D.Lgs. 183/2021). Conditions tied to a founder's nationality depend on the case, and we review them before the deed is booked.
Can a US citizen start a business in Rome?
A founder living in the United States can sign by videoconference or give a procura, and the notary receives a remote deed in any case when every party lives outside Italy (Art. 2(4) D.Lgs. 183/2021). This page states no rule by country; the founder's own position is reviewed in a first conversation.
What is an LLC called in Italy?
The closest form is the S.r.l., the società a responsabilità limitata, with its simplified version, the S.r.l.s. Both may be formed by the remote deed when the seat is in Italy and the capital is paid in cash (Art. 2(1) D.Lgs. 183/2021). The S.r.l. is the company this Rome service prepares.
Can I move the company's address later?
Yes. Within the comune of Rome it is a Register filing with EUR 65 stamp duty and a EUR 30 secretarial fee, without a notary (fee table); the new street address is a directors' declaration (Art. 111-ter disp. att. c.c.). A move to another comune needs a notarial amendment of the deed (Art. 2480 c.c.).
